CITY Trade Program Terms and Conditions
These terms and conditions, which may be subject to change. from time to time at the sole discretion of CITY Furniture, Inc (“Terms”) contain the benefits, details, and terms of use of CITY Furniture, Inc.’s (“CITY”) membership to the trade program, as it may change from time to time (“Program”). Each individual, whether a business entity or individual, that receives membership into the Program shall be referred to as a “Member”. Each individual, whether a business entity or individual, that is applying for membership in the Program shall be referred to as an “Applicant.”
1. Eligibility and Membership.
To gain membership in the program, a Member must be a certified interior designer, home contractor, architect or an architecture firm, professional stager, or other qualified commercial Applicants at CITY’s sole and absolute discretion. CITY will evaluate each Applicant’s eligibility and reserves the right to make all membership determinations. Any associated business licenses or certifications must be submitted with an application and will be required for eligibility into the Program. Incomplete application will be declined. No company-wide or group memberships will be granted.
In order to receive reseller tax benefits, a valid Resale Tax Certificate will be required. No tax exemption benefits will be permitted without a valid Resale Tax Certificate. Valid Resale Tax Certificate must be presented annually. Member will be solely responsible and liable for providing updated Resale Tax Certificate annually. Should CITY not receive an updated Resale Tax Certificate, CITY will charge all appropriate sales tax. Any violations or attempted violations, including but not limited to fraudulent submission of Resale Tax Certificate will be deemed a violation of this Program and CITY will report violations to all appropriate legal authorities.
Membership is not transferrable and may only be utilized by a qualified and approved Member. Member may be asked to present valid photo identification to receive trade discounts when purchasing at CITY. Membership may not be misused, and misuse may result in termination of membership in the Program. Examples of misuse include but are not limited to misuse of CITY’s intellectual property, use of discount for personal purchases, transfer of membership, misrepresentation or disparagement of CITY, illegal actions, providing kickbacks or bribes, or submitting fraudulent or misrepresented information in an application.

2. Discount.
Members will receive a discount of 10% on purchases at any participating CITY location (“Discount”). To receive a discount, Member must make a purchase with a CITY Design Associate in a participating CITY location. There is no minimum purchase requirement. Discount is not valid on online purchases or Ashley Furniture HomeStore purchases, including any Ashley Furniture HomeStores owned or operated by CITY.
Discount is not valid when purchasing gift cards, promotional or sale items including standard CITY sales, outlet or clearance items, items marked “as is”, floor models, samples, additional warranties, delivery or shipping fees, electronics (such as televisions), or taxes. Certain product exclusions may apply at the discretion of CITY.
3. General Terms and Conditions.
These Terms set forth the terms and conditions of membership in the Program. CITY may change these Terms, benefit offering, and the Program from time to time, without notice. CITY will post these terms at https://www.cityfurniture.com/terms/trade-program. CITY reserves the right to terminate the Program or any membership to the Program at any time, without notice. To make a tax-exempt purchase, Member must provide an Annual Resale Certificate. By enrolling in the Program, you agree to receive marketing messages from CITY, which will include exclusive events and promotions only available to Members. CITY respects your privacy, and all communications are subject to CITY’s Privacy Policy which is located at https://www.cityfurniture.com/privacy_page. These Terms are governed by the laws of the State of Florida. CITY employees (part-time or full-time) and contractors are not eligible to participate in the Program for a period of 12 months following termination of employment or contract.
